Terms of Service

CustomAILab Learning Systems Inc. — Effective February 23, 2026. Last Updated March 21, 2026. Please expand each section to review.

These Terms of Service govern your use of the CustomAILab AI tutoring platform ("Service" or "Cal"), operated by CustomAILab Learning Systems Inc., an Ontario corporation.

By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1.1 Who Can Use the Service

The Service is designed for students in grades 7–12, though others may use it. You must be at least 13 years old. If you're under 18 ("Minor"), your parent or legal guardian ("Parent") must consent to these Terms and is responsible for your use of the Service.

1.2 Parental Responsibilities

If you're a Parent consenting for a Minor:

  • You're responsible for all activity on the account
  • You'll receive progress reports based on your subscription tier
  • You'll be notified if safety systems flag concerning queries
  • These Terms apply to both you and the Minor

1.3 Geographic Scope

The Service is available in North America. We reserve the right to restrict access from other regions.

2.1 What CustomAILab Provides

CustomAILab is an AI tutoring platform with three components:

Cal (The Tutor): An AI assistant powered by Google's Gemini models that provides tutoring across all subject areas.

The Librarian: Processes documents you upload using Gemini Vision technology and stores them in your personal, private knowledge base.

The Dean: Reviews your conversations with Cal and generates progress reports for Parents, including a Cognitive Development Index (CDI) score assessing engagement quality.

2.2 Two Knowledge Bases

Cal's Knowledge Base: Ontario curriculum documents and Open Educational Resources (OER) textbooks. Shared across all users. Updated by us.

Your Personal Knowledge Base: Private storage for your syllabi, assignments, notes, and study materials. Only you and Cal can access it. Not shared with other students.

Note: Cal's KB does NOT include IB or AP materials (copyright restrictions). IB/AP students should upload relevant documents to their Personal KB.

2.3 Canadian Data Infrastructure

Data Storage: All persistent data — including student profiles, conversation logs, uploaded documents, knowledge base content, and evaluation data — is stored exclusively in Montreal, Canada, using Google Cloud Run and Supabase infrastructure. Your stored data never leaves Canada.

AI Processing: Under our standard architecture, AI inference is also routed to Montreal. During the Beta Period (March–June 2026), AI inference requests are processed on Google's global endpoint because the required Gemini model capabilities are not yet available on Google's Montreal regional endpoint. This means that query text and AI responses may be processed outside Canada during the Beta Period. Google's data processing terms apply; queries are not used for model training. We will migrate to Montreal-only inference when Google makes stable regional endpoints available (expected by September 2026). See Section 8.7 for additional Beta Period terms.

This architecture is designed to comply with Quebec's Law 25, Ontario's Bill 194, and federal PIPEDA.

2.4 Safety Features

Queries are screened by OpenAI's moderation system before reaching Cal. Flagged queries are blocked and Parents are notified immediately by automated email. Notifications are sent directly to the Parent on record and include the flagged message text. These notifications are not forwarded to CustomAILab staff.

3.1 Three Tiers

Foundation Tier — $150/month: 1,500,000 tokens/month (~12 hours of tutoring), monthly progress reports, session memory, individual question practice.

Undergrad Tier — $250/month: 3,000,000 tokens/month (~24 hours), bi-monthly reports, long-term memory across sessions, full exam prep with mock exams.

Graduate Tier — $450/month: 8,000,000 tokens/month (60+ hours), weekly reports, comprehensive living profile with detailed CDI scores, unlimited uploads, full exam prep.

3.2 Founder Pricing (Beta Program)

Students enrolling during beta (March–June 2026) who provide feedback receive Graduate Tier features at Undergrad Tier price ($250/month). This pricing continues indefinitely as long as subscription remains active. Important: Canceling forfeits Founder pricing permanently.

3.3 Billing & Payment

Subscriptions bill monthly in advance via Stripe. Your payment method is charged on the same day each month.

3.4 Token Limits

Tokens measure AI usage. Consumption varies by query/response length and complexity. If you exhaust your monthly allocation, you can't submit more queries until the next billing cycle. Unused tokens don't roll over.

3.5 Cancellation

Cancel anytime through account settings or by emailing andy@customailab.ca. Access continues through end of current billing period. No refund for remaining days. Founders forfeit special pricing permanently.

3.6 No Refunds

All fees are non-refundable except in cases of extended service outages caused by us (at our discretion).

3.7 Price Changes

We may change pricing with 30 days' email notice. Changes apply on your next billing date. Founder pricing is protected from increases.

4.1 Proper Use

Use Cal to learn, understand concepts, prepare for exams, and deepen knowledge. NOT to complete graded work for you.

4.2 Your Academic Integrity Responsibilities

  • Disclose AI Use: If you use Cal for graded assignments, disclose this to your teacher according to your institution's policies.
  • Follow Your School's Rules: Your institution's academic integrity policies govern.
  • Understand, Don't Copy: Use Cal to understand HOW to solve problems, not to generate answers to submit as your own.
  • Verify Everything: Cal can make mistakes. You're responsible for checking accuracy.

4.3 Prohibited Conduct

You may NOT: use Cal to cheat or complete graded assignments when prohibited; share your account or access code; upload copyrighted materials you don't have rights to use; upload illegal, harmful, or inappropriate content; attempt to bypass safety systems; use Cal during exams where outside help is prohibited; reverse engineer or commercially exploit the Service.

4.4 Consequences

Violations may result in account suspension or termination without refund, notification to Parents/institutions, and legal action if appropriate.

5.1 You Own Your Uploads

You retain ownership of everything you upload to your Personal Knowledge Base.

5.2 License to Use Your Content

By uploading materials, you grant us permission to store and process them to provide the Service, personalize Cal's responses, analyze interactions for Dean's Reports, and use aggregated anonymized data for service improvement. This license ends when you delete your content or after your data retention period expires.

5.3–5.4

Materials in Cal's KB are owned by their respective copyright holders. You can use Cal's responses for personal educational purposes and must properly attribute AI assistance per your institution's requirements.

5.5 We Own the Service

CustomAILab owns all rights to the Service, including software, design, The Librarian, The Dean, and Cal's architecture. You get a limited license for personal education only.

5.6 Copyright Compliance — Student Uploads

You're responsible for ensuring uploaded materials don't violate copyright. We may remove content we believe violates intellectual property rights. You indemnify us against claims arising from your copyright violations.

5.7 Copyright Complaints

Email andy@customailab.ca with subject "Copyright Infringement Claim" and provide identification of the copyrighted work, location of infringing material, your contact information, and a statement of good faith belief.

6.1 What We Collect

Account information (student first name, grade level, Parent name and email, access code, subscription tier); usage data (all queries, responses, chat logs, token usage, login times); your uploads and associated metadata; evaluation data (CDI scores and engagement metrics); safety data (flagged queries and Parent notifications). Student email is NOT collected for Minors. Payment information is collected by Stripe, not by us.

6.2 How We Use Data

To provide the Service, personalize tutoring, generate progress reports, monitor safety, manage accounts, improve the Service, and comply with legal obligations.

6.3 Canadian Data Residency

All persistent data is stored in Canada (Montreal) and never leaves Canada. During the Beta Period (March–June 2026), AI inference requests are processed on Google's global endpoint as described in Section 2.3. All other processing occurs in Montreal.

6.4 Your Personal KB is Private

Only you and Cal can access your Personal KB. Staff access only for technical support (with your consent), Terms enforcement, or legal compliance. Parents may request access to Minor's KB.

6.5 Who We Share Data With

Service Providers (Google, Supabase, Stripe, OpenAI for safety moderation); Parents (Dean's Reports, safety notifications, chat logs upon request); legal requirements (when required by law); educational institutions (with appropriate authorization for academic integrity investigations).

6.6 Data Retention

Active subscription: all data retained. After cancellation: data held for 1 year, then permanently deleted. Financial records: 7 years for tax compliance. Anonymized data may be retained indefinitely.

6.7 Your Rights

You may access, correct, request deletion (email andy@customailab.ca with subject "Data Deletion Request"), export, or withdraw consent. We'll respond within 30 days. For Minors, the Parent exercises these rights.

The Service uses:

  • Google Cloud Platform & Gemini: Infrastructure and AI models (Montreal for storage/hosting; global endpoint for inference during Beta Period — see Section 2.3)
  • Supabase: Database services (Montreal, Canada)
  • Stripe: Payment processing (subject to Stripe's terms and privacy policy)
  • Gemini Vision: Document processing
  • OpenAI Moderation API: Safety screening (data not used for OpenAI training)

Each provider has its own terms and policies. We're not responsible for third-party actions, outages, or breaches, but we select reputable providers and maintain data protection agreements where required by law.

8.1 What Cal Is and Isn't

Cal IS: An AI learning tool to support education, powered by machine learning models. Cal IS NOT: A teacher, licensed tutor, educational psychologist, or human expert.

8.2 No Guarantee of Accuracy

AI systems can make mistakes, produce "hallucinations" (plausible but incorrect information), miscalculate, or misunderstand complex questions. You must independently verify all information from Cal.

8.3 Your Verification Responsibility

You're solely responsible for checking Cal's responses for accuracy, confirming alignment with course requirements, consulting teachers when uncertain, using critical thinking, and not blindly trusting Cal's responses.

8.4 No Academic Guarantees

We make NO guarantees that using Cal will improve grades, result in admission to any institution, ensure mastery of material, or meet any teacher's expectations.

8.5 Subject & Curriculum Limitations

Cal is optimized for Ontario curriculum. Effectiveness varies for highly specialized topics, other curricula (IB/AP/international), ambiguous questions, rapidly evolving fields, and highly subjective areas.

8.6 Technical Limitations

The Service may experience downtime, slow performance during high usage, token depletion, context window limits, or browser compatibility issues. We provide Service "as available" with no guarantee of uninterrupted access.

8.7 Beta Disclaimer

The Service is in beta (March–June 2026). Expect bugs, incomplete features, potential service interruptions, and feature changes based on feedback.

AI Inference During Beta: Google does not yet offer stable Gemini 3 regional endpoints in Montreal with the capabilities required by Cal's system architecture. During the Beta Period, AI inference requests are processed on Google's global endpoint, which may route through infrastructure outside Canada. All stored data remains in Montreal. CustomAILab will migrate to Montreal-only inference when Google makes the required regional endpoints available (expected by September 2026).

Beta users voluntarily accept these risks, including the temporary use of non-Canadian AI inference.

8.8 NO WARRANTY

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR UNINTERRUPTED SERVICE.

9.1 What We're Not Liable For

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUSTOMAILAB IS NOT LIABLE FOR: any indirect, incidental, or consequential damages; academic consequences; academic integrity violations; errors or inaccuracies in Cal's responses; service interruptions or data loss; unauthorized account access; third-party actions; any damages arising from your use or inability to use the Service.

9.2 Liability Cap

Our total liability cannot exceed the amount you paid us in the 12 months before the claim arose. For beta users with Founder pricing, liability is capped at actual amount paid.

9.3 Exceptions

Nothing limits liability for death/injury from our negligence, fraud, gross negligence, or anything that can't be limited under Canadian law.

9.4 You Assume the Risk

By using the Service, you acknowledge AI has inherent limitations, Cal may provide inaccurate information, relying on Cal without verification carries academic risks, and technical failures may occur. You voluntarily assume all risks.

9.5 You Indemnify Us

You agree to defend and hold us harmless from claims arising from your use of the Service, violation of these Terms, uploaded content, academic integrity violations, violation of any laws, and (if you're a Parent) the Minor's use.

10.1 You Can Cancel Anytime — through account settings or email. Access continues through current billing period. No refunds for partial months. Founders forfeit special pricing permanently.

10.2 We Can Terminate for Violations — immediately for Terms violations, academic dishonesty, payment failure, uploading illegal content, safety violations, or harmful conduct. Termination for cause means immediate access loss, no refunds, possible data deletion, and permanent ban.

10.3 We Can Discontinue the Service — with 30 days' notice when feasible. Pro-rated refund in that case.

10.4 Data After Termination — retained for 1 year, then deleted. Request export before deletion. Financial records kept 7 years.

10.5 Surviving Provisions — Sections on intellectual property, privacy, disclaimers, liability limitations, indemnification, and dispute resolution survive termination.

We can change these Terms at any time. For material changes, we'll email you 30 days before changes take effect. Continued use after changes means acceptance. If you don't agree, cancel before the effective date. Founder pricing is protected from increases unless required by law or necessary for service viability.

These Terms are governed by Ontario and Canadian federal law. Before litigation, contact us at andy@customailab.ca (subject: "Dispute Resolution") — we'll respond within 30 days. Lawsuits must be filed in Ottawa, Ontario courts within 1 year. Claims must be individual, not class actions. You can always report concerns to regulatory bodies.

These Terms plus our Privacy Policy constitute the entire agreement. If any provision is unenforceable, the rest remains in effect. We can assign these Terms; you cannot. We're not liable for force majeure events. No partnership or agency relationship exists. Notices to CustomAILab: email andy@customailab.ca. Communications are in English.
